All services rendered to clients are subject to a separate, formal, written **Service Agreement (Contract)** executed by both parties. Information on this website is for informational and promotional purposes only and does not constitute a legally binding service offer.
3. Intellectual Property Rights
The Service and its original content (excluding client content), features, and functionality are and will remain the exclusive property of UpTechMind. Our content includes, but is not limited to, the logo, website design, text, graphics, and underlying code. Unauthorized use of materials on this website may violate copyright, trademark, and other laws.
- **Client IP:** Unless otherwise agreed in the Service Agreement, upon final payment, the intellectual property rights to the custom software developed for a client will be transferred to the client.
4. Limitation of Liability
In no event shall UpTechMind, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:
- Your access to or use of, or inability to access or use, the Service;
- Any conduct or content of any third party on the Service;
- Any content obtained from the Service; and
- Unauthorized access, use, or alteration of your transmissions or content.
5. Governing Law
These Terms shall be governed and construed in accordance with the laws of India, specifically the jurisdiction of courts in **Rajkot, Gujarat**, without regard to its conflict of law provisions.
6. Changes to Terms
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. We will try to provide at least 30 days' notice prior to any new terms taking effect.
